These Terms of Service (“Terms”) govern the use of the PointVoIP Voice Ordering application (the “Application”) provided by pointvoip, llc (“PointVoIP,” “we,” or “us”) by the business that installs the Application on its Clover account (the “Merchant,” “you”). By installing or using the Application, you agree to these Terms. If you have a separate signed service agreement with PointVoIP, that agreement controls where it conflicts with these Terms.
The Application answers designated Merchant telephone lines with an automated voice assistant that takes customer orders and enters them into the Merchant’s Clover Point of Sale system, including sending orders to the Merchant’s kitchen printer and, where enabled, sending customers order-related text messages such as a Clover-hosted payment link. The Application uses the Merchant’s Clover menu, inventory, and order-type data to build orders.
You must have a valid Clover merchant account. By installing the Application, you authorize PointVoIP to access and use your Clover data (including inventory, orders, customers, merchant information, and payment status) as described in our Privacy Policy and as necessary to provide the service. You are responsible for maintaining the accuracy of your Clover menu, prices, modifiers, item availability, order types, tax settings, and printer configuration; the Application relies on this data as entered in Clover.
You acknowledge that: (a) the Application uses artificial intelligence, including speech recognition and language models, and despite safeguards (such as reading order totals back to the caller for confirmation) it may occasionally mishear, misprice as a result of Clover data errors, or misenter an order; (b) you are responsible for reviewing orders as they arrive on your Clover devices and for resolving order disputes with your customers, including refunds and remakes; (c) the Application creates orders — fulfillment, food preparation, delivery, pricing, and customer service remain entirely your responsibility; and (d) quoted preparation or delivery times read by the assistant are estimates configured by you.
Calls answered by the Application may be recorded and transcribed. You are responsible for compliance with all laws applicable to your use of the Application, including call-recording notice and consent laws, telephone and text-messaging laws (including obtaining any consent required to send order-related text messages to your customers), food-safety and consumer-protection laws, and tax collection and reporting. Where required, you must disclose to your customers that calls are answered by an automated system and may be recorded; the Application can play such a disclosure at the start of each call.
The Application does not process, transmit, or store payment card data. Online payments, where enabled, are processed by Clover via Clover-hosted checkout pages under your agreements with Clover and your payment processor. Orders not paid online are settled directly between you and your customer (for example, payment at pickup or cash on delivery).
Fees for the Application and associated PointVoIP services are set out in your service agreement or order form with PointVoIP. Clover, carrier, and text-messaging charges may apply separately under your agreements with those providers.
You may not use the Application for any unlawful purpose; attempt to reverse engineer, resell, or provide the Application to third parties except as agreed with PointVoIP in writing; or use the Application in a manner that interferes with its operation or with Clover’s systems.
PointVoIP retains all rights, title, and interest in the Application, including all software, prompts, workflows, and configurations. You retain all rights in your business data. You grant PointVoIP a license to use your data solely to provide and improve the service as described in the Privacy Policy.
We aim for high availability but do not guarantee uninterrupted service. Telephone answering depends on third-party services including telephony carriers, Clover, and AI providers. If the Application cannot complete an order or reach your Clover system, calls can be configured to fall back to forwarding to the Merchant’s own store phone line. THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, POINTVOIP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. POINTVOIP DOES NOT WARRANT THAT ORDERS WILL BE ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POINTVOIP’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE APPLICATION WILL NOT EXCEED THE FEES PAID BY YOU FOR THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, AND POINTVOIP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST ORDERS, OR LOST DATA.
You will defend and indemnify PointVoIP against third-party claims arising from your menu content, your fulfillment of orders, your violation of law (including call-recording and text-messaging laws), or your breach of these Terms.
These Terms apply while the Application is installed on your Clover account. Either party may terminate as provided in your service agreement, or you may terminate by uninstalling the Application. Sections 8 and 10–12 survive termination. Upon termination we will delete or return Merchant data as described in the Privacy Policy, subject to legal retention requirements.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, and any disputes will be resolved in the state or federal courts located in Suffolk County, New York. We may update these Terms by posting a revised version at this URL; material changes will be notified to the Merchant contact on file. If any provision is unenforceable, the remainder remains in effect.
